InnoConcepts launches Equity offering of new shares of up to Eur 25 million

InnoConcepts launches an equity offering of new shares through private placements with institutional investors of up to EUR 25 million.
• The proceeds of the equity offering will be used to refinance the indebtedness incurred by the acquisition of 20.3% of I-Pac and for general corporate purposes.
• As announced earlier, InnoConcepts will also place 1,547,000 shares with KBC Private Equity as part of the purchase consideration for their shareholding in I-Pac.
• InnoConcepts has mandated Rabo Securities to act as Sole Global Coordinator.
On 19 July 2006, InnoConcepts N.V. (“InnoConcepts” or the “Company”) announced that it had reached agreement with KBC Private Equity N.V. (“KBC Private Equity”) on the acquisition of its 18.9% interest in I-Pac Technologies N.V. (“I-Pac”) for (i) 1,547,000 new ordinary shares in the capital of the Company with a nominal value of €0.01 each (the “Consideration Shares”) and (ii) a EUR 20 million cash consideration. On 26 September 2006, InnoConcepts reached an agreement to acquire the remaining 1.4% interest in I-Pac from several minority shareholders for a EUR 2.3 million cash consideration. Following these two transactions, InnoConcepts’ interest in I-Pac increased to 100%.
Today the Company will offer new ordinary shares with a nominal value of €0.01 each in the capital of the Company (the "New Ordinary Shares") to raise gross proceeds of up to EUR 25 million to institutional investors through private placements in the Netherlands and elsewhere outside the United States (the "Offering"). Upon completion of the Offering, the Company will issue and place the Consideration Shares with KBC Private Equity (the "KBC PE Placing").

InnoConcepts has granted an Over-Allotment Option (as defined below) to the Sole Global Coordinator. In connection with the listing and admission to trading on Eurolist by Euronext Amsterdam N.V. (“Euronext Amsterdam”) of any ordinary shares placed in the Offering and the Consideration Shares placed in connection with the KPC PE Placing, the Company will publish a prospectus. The prospectus will be published subject to, and following, completion of the Offering.

InnoConcepts Lock-up The Company has agreed with the Sole Global Coordinator, subject to limited exceptions, not to, amongst other things, issue, agree to issue, offer, pledge, transfer, sell, contract to sell, sell any option or contract to purchase or otherwise transfer or dispose of, directly or indirectly, any Shares or any securities convertible into or exchangeable for Shares or enter into any swap or other agreement with the same economic effect or publicly announce any intention to do any such things, up to 90 days after the settlement date, without the prior consent of the Sole Global Coordinator.

KBC Private Equity Lock-up KBC Private Equity has agreed not to, directly or indirectly, sell, transfer or dispose of any of the Consideration Shares until the earlier of (i) six months from the date of issue of the Consideration Shares, (ii) 31 May 2007, or (iii) such earlier time as may be agreed with the Sole Global Coordinator. For the six month period thereafter, KBC Private Equity has agreed to comply with certain orderly market provisions.
