LUC VOLATIER AND EUGÉNIE VAN WIECHEN APPOINTED AS NEW SUPERVISORY BOARD MEMBERS
HEERENVEEN (THE NETHERLANDS), 21 APRIL 2021 - Accell Group N.V., the leading European bicycle company with well-known brands such as Haibike, Koga, Batavus and Raleigh, announces that all resolutions proposed to shareholders were passed at the (online) General Meeting (GM) held today.

GENERAL MEETING RESOLUTIONS
The GM adopted the 2020 Annual Accounts. The Board of Management was discharged for their management in 2020 and the Supervisory Board was discharged for its supervision of the management in that same year. Shareholders also appointed KPMG Accountants N.V. as Accell’s external auditor responsible for auditing the 2022 financial statements.

The GM renewed, for a period of 18 months, the existing authorization of the Board of Management to acquire, up to a maximum of 10% of the company’s ordinary shares issued at the time of the acquisition. Furthermore, the GM renewed, for a period of 18 months the existing authorization, to issue ordinary shares up to a maximum of 10 per cent of the number of ordinary shares outstanding. Finally, the GM renewed, for a period of 18 months the existing authorization of the Board of Management to limit or exclude pre-emptive rights in relation to the issue of ordinary shares, up to a maximum of 10 percent of the number of ordinary shares outstanding. The use of the aforementioned authorizations by the Board of Management is subject to the Supervisory Board’s approval. CHANGES IN THE SUPERVISORY BOARD
After the GM, the Supervisory Board appointed Mr. Luc Volatier and Mrs. Eugénie van Wiechen as members of the Supervisory Board for a four-year period ending in 2025. Also, following the GM, Peter Ernsting has retired from the Supervisory Board as his current third and final term has ended.

They bring along strong leadership skills and expertise in amongst others Supply Chain management and digital transition. We are convinced that both of them will be a great addition and fit with the rest of our Board and with the Managing Board, both on a professional and personal level. We also would like to take the opportunity to thank Peter for his dedication and valuable contributions as Supervisory Board member over the past 10 years. We wish him all the best in his future endeavors.”

With these changes, the Supervisory Board has increased the number of Supervisory Board members from four to five in order to further complement and enhance the Board’s extensive experience, ensure a better distribution of tasks and support Accell Group’s commitment to diversity in leadership.
