Amsterdam, August 8, 2011 – Kardan N.V. (“Kardan” or “the Company”), active in Real Estate, Water Infrastructure and Financial Services in emerging markets announces that, further to its press release of August 4, 2011, the following transactions took place between August 4, 2011 and August 7, 2011:

· in line with the initiation of the share buyback plan of up to EUR 1.5 million (“the Share Plan”), the Company has repurchased 27,082 Kardan shares on the Stock Exchange of Euronext Amsterdam (“ASE) at an average share price of EUR 2.56 for a total amount of EUR 69,320, and on the Tel Aviv Stock Exchange (“TASE”) 39,634 shares at an average share price of approximately EUR 2.60 for a total amount of approximately EUR 102,890;

· in line with the plan of its subsidiary GTC Real Estate Holding B.V. (“GTC RE”) to purchase debentures of Kardan, listed on TASE, up to an amount of EUR 25 million (“the Debenture Plan”), GTC RE purchased 24,431,601 Debentures Series A at an average price of NIS1.11 totalling NIS 27.1 million (EUR 5.5 million).

The share buyback plan and the debenture purchase plan have come to an end today due to the start of the closed period before the publication of the first Half Year results 2011 of the Company on August 30 coming. Since the start of the Share Plan the Company has bought 421,384 shares for a total amount of EUR 1,303,686 being approximately 87% of the Share Plan; GTC RE acquired 66,707,379 Debentures Series A and 10,229,353 Debentures Series B for a total amount of approximately EUR 18.0 million; through these purchases approximately 72% of the Debenture Plan has been executed. As of today GTC RE owns 5.9% of Kardan Debentures Series A and 3.6% of Kardan Debentures Series B and Kardan owns 0.39% of its shares (excluding the shares of Kardan held by its 74% subsidiary Kardan Israel Ltd).
