De Bilt, 11 April 2014 - The extraordinary General Meeting of Shareholders of Grontmij N.V. (the 'Company'), which was held today, adopted all proposed resolutions.
- The General Meeting resolved to amend the articles of association in connection with the introduction and issue of convertible cumulative finance preference shares. Further the General Meeting approved the terms and conditions applicable to the conversion of convertible cumulative finance preference shares and granted the authorisation to acquire convertible cumulative finance preference shares by the Company.

In addition, the General Meeting authorised the Executive Board to issue (protective) preference shares and to grant rights to subscribe for such shares allowing the Company to maintain the existing protective measure at the level prior to the introduction of the finance preference shares.

Finally the amended reservation and dividend policy was discussed.

The amendment of the articles of association of the Company and the private placement of 5,459,246 convertible cumulative finance preference shares are expected to take place on 14 April 2014.

The draft minutes of the meeting will be published on the company's website no later than 11 July 2014 (www.grontmij.com).

During the meeting it was announced that Mr Jan van der Zouw, Chairman of the Supervisory Board, who has been absent since the end of last year due to health reasons, is expected to resume his activities during the second quarter of 2014. Until that time Mrs Karin Dorrepaal will continue to act as ad-interim Chairman of the Supervisory Board.
