Delta Lloyd NV kondigt de uitgifte aan van 19,9 miljoen nieuwe gewone aandelen via een versnelde book-build procedure, die per direct start. In lijn met Delta Lloyd's prudente aanpak van kapitaalbeheer, wil Delta Lloyd de opbrengst gebruiken om haar solvabiliteitspositie verder te versterken in het licht van de diverse onzekerheden rondom Solvency II. De geplaatste gewone aandelen zijn dividendgerechtigd voor het slotdividend 2014.



Bestuursvoorzitter Hans van der Noordaa: "Prudent kapitaalbeheer en return management is voor Delta Lloyd een topprioriteit, zoals wij aangegeven hebben bij de presentatie van onze jaarresultaten over 2014 en tijdens de daaropvolgende gesprekken met beleggers en analisten. Wij onderzoeken voortdurend manieren om onze kapitaalstructuur te optimaliseren en onze balans te versterken; door middel van onze productmix, inkomsten en optimalisatie van onze activa en kapitaalmarkttransacties, zoals een langlevenswap. De plaatsing van kapitaal vandaag in combinatie met een langlevenswap zal onze ratio voor economische kapitaal (intern model op basis van methodiek en aannames per jaareinde 2014) in de bovenste helft van het door ons gecommuniceerde streefniveau (140-180%) brengen. Deze prudente aanpak verschaft ons extra flexibiliteit om te blijven inspelen op marktkansen voor duurzame groei. Wij houden vast aan ons dividendbeleid."



De transactie

Inschrijving op de uitgifte is per direct opengesteld en zal naar verwachting morgen vóór aanvang van de beurzen NYSE Euronext Amsterdam en NYSE Euronext Brussels, worden gesloten, onder voorbehoud van eventuele vervroegde sluiting. Afronding van de uitgifte en de notering van en handel in de gewone aandelen aan NYSE Euronext in Amsterdam en Brussel zullen naar verwachting plaatsvinden op 19 maart 2015. Delta Lloyd heeft gebruikgemaakt van de machtiging van de jaarlijkse algemene aandeelhoudersvergadering, om nieuwe gewone aandelen uit te geven tot maximaal 10% van het geplaatste aandelenkapitaal.



Morgan Stanley treedt op als Sole Global Coordinator en Joint Bookrunner voor de uitgifte en ABN AMRO Bank als Joint Bookrunner. Delta Lloyd heeft ingestemd geen nadere uitgifte of verkoop van gewone aandelen of van effecten die converteerbaar zijn in gewone aandelen te doen gedurende een periode van 90 dagen na afronding van de uitgifte, onder voorbehoud van gebruikelijke uitzonderingen, tenzij voorafgaand schriftelijk toestemming is verkregen van de Sole Global Coordinator.
