Referring to the previous press release of 3 February 2005, the Board of Managing Directors and the Supervisory Board of Exact Holding N.V. ("Exact") hereby announce that Exact will pay an interim dividend of EUR 1.00 per share. Holders of Exact shares are entitled to this cash distribution if their Exact shares are held at their bank or broker after the closing of the Stock Exchange of Euronext Amsterdam N.V. on March 15, 2005.

The proposal for the final dividend will be equal to the interim dividend of EUR 1.00 per share. This proposal will be submitted to the Annual General Meeting of Shareholders.

The proposed ex-dividend date on the stock exchange of Euronext Amsterdam N.V. will be March, 16, 2005, barring unforeseen circumstances.

The interim dividend will be payable as of March 21, 2005.
