Esperite N.V. (Euronext: ESP, "Esperite" or "the Group") announces that today a 21st Tranche of EUR 300,000 is issued as a private placement of 30 convertible notes (the "Notes") with a principal amount of EUR 10,000 each, with 485,611 share subscription warrants attached (the "Warrants"), under the financing agreement of up to EUR 13.0 million signed between the Group and the European Select Growth Opportunities Fund on 8 March 2017 (the "Agreement"). Prior to the issuance of the 21st Tranche, EUR 7,250,000 of Notes out of the total commitment of EUR 9 million under the Agreement have been issued to the Investor and EUR 247,500 share subscription warrants have been exercised by the Investor.

As of today, the integrality of the EUR 7,250,000 of Notes issued to the Investor since March 8, 2017 under the Agreement have been converted into 17,719,000 shares. The total number of shares outstanding as of today amounts to 34,782,691.

The Notes and the Warrants shall have the same characteristics as those described in the Group's press release dated 8 March 2017.
