InnoConcepts (“the Company”) announces it has received a letter from Staalhaven in which it seeks to quantify its claim in the legal dispute with the Company regarding the repayment of a EUR 3.0 million three-month loan that Staalhaven granted to the Company on 26 March 2009. On 28 June 2009, the Company redeemed this loan by issuing 1,243,523 ordinary shares in the capital of InnoConcepts at a price of EUR 3.86 per share, which was the closing price of the shares on Euronext Amsterdam on Friday 26 June 2009. Staalhaven refused to accept these shares and initiated legal proceedings, primarily claiming that the applied issue price should be "lower" (without any quantification).

Staalhaven now claims that it is entitled to a maximum of up to 14,227,590 shares. This maximum assumes that (1) the issue price in the rights issue of EUR 0.52 per share should be used as the price per share for the redemption of the loan in June 2009, that (2) Staalhaven is entitled to interest over the period after redemption and that (3) Staalhaven is entitled to compensation for underwriting the rights issue even if it has not underwritten anything.

As stated before, the Company believes that this claim has no basis in law or fact and, whilst there is no certainty as long as court proceedings are ongoing, the Company is confident of a positive outcome of this dispute.
