Amsterdam, January 8, 2018 – As indicated before in various publications, including the Company's Press Release and Board of Directors’ report for the period ended September 30, 2017 dated November 30, 2017, the Company is conducting a sales process regarding its holdings in Tahal Group International B.V. (‘Tahal’). Further to media publications in Israel yesterday on negotiations with the Fortissimo Fund, Kardan N.V. (‘Kardan’ or ‘the Company’) would like to clarify that it is in advanced negotiations with several entities, including the Fortissimo Fund, for the sale of its holdings in Tahal. Should such transaction be completed, the Company will be able to meet the upcoming payments to the debenture holders on time, or on terms to be agreed with the debenture holders, or any of them.

It should be emphasized that there is no certainty regarding a transaction for the sale of the Company’s holdings in Tahal, nor the date of entering into such a transaction, nor the consideration received by the Company, nor the date and the conditions for receiving such consideration should the transaction for the sale of the holdings in Tahal be completed.
