Besi Announces Transactions Under Share Repurchase Program

Duiven, the Netherlands, April 26, 2013 - BE Semiconductor Industries N.V. (the "Company" or "Besi") (NYSE Euronext: BESI; OTCQX: BESIY), a leading manufacturer of assembly equipment for the semiconductor industry, today announced that it repurchased 30,801 of its ordinary shares during the period from Friday April 19, 2013 up to and including Friday April 26, 2013 at a weighted average price of € 6.47 for a total purchase amount of € 199,349. Since October 24, 2012, Besi has purchased a total of 581,170 of its ordinary shares at a weighted average price of € 6.07 for a total purchase amount of € 3,526,939.


The share repurchases are part of a buy-back program announced on October 23, 2012 according to which the Company may repurchase up to a maximum of approximately 1.5 million ordinary shares from time to time until October 25, 2013. The repurchase program is implemented in accordance with industry best practices and in compliance with applicable buyback rules and regulations. The Company has engaged an independent broker for the program and all purchases will be executed through Euronext Amsterdam. Besi is engaging in the repurchase program to enhance shareholder value in light of the current price of its shares relative to anticipated future earnings as well as to help further reduce share dilution from the conversion of its 5.5% Convertible Notes in June 2011.

Sinds 24 oktober 2012, heeft Besi een totaal van 581.170 van haar gewone aandelen heeft ingekocht voor een gewogen gemiddelde prijs van € 6,07 voor een totaal aankoopbedrag van € 3.526.939.


De terugkoop van aandelen zijn onderdeel van een inkoopprogramma zoals aangekondigd op 23 oktober 2012 volgens welke de Vennootschap tot kan inkopen tot een maximum van ongeveer 1,5 miljoen gewone aandelen van tijd tot tijd tot 25 oktober 2013. Het inkoopprogramma wordt uitgevoerd in overeenstemming met de industrie best practices en in overeenstemming met de geldende inkoop-en regelgeving. De Vennootschap heeft een onafhankelijke broker aangesteld voor het programma en alle aankopen zal worden uitgevoerd door Euronext Amsterdam. Besi is de uitoefening van het inkoopprogramma om aandeelhouderswaarde te verbeteren in het licht van de huidige prijs van haar aandelen in verhouding tot de verwachte toekomstige inkomsten, alsmede te helpen verder te verminderen verwatering aandeel uit de omzetting van de 5,5% converteerbare obligaties in juni 2011.

Blue chip customer base, top 10 customers represent 48% of 2012 revenu.
Wat lezen wij in de media, Samsung domineert in rijke smartphonemarkt.
Dus zal Besi daar ook van mee profiteren.

At the time of this letter, VLSI Research, a leading independent research analyst for the semiconductor equipment industry, expects that the semiconductor equipment market will decline by 4.6% in 2013. From our perspective, the outlook has improved since Q3-12 as witnessed by a 6.8%
sequential order increase in Q4-12 and continued modest order improvement through February 2013 as compared to Q4-12, particularly for our advanced packaging systems. This upturn may indicate that an industry trough was achieved in Q4-12, although it is still too early to predict its significance
for our 2013 results.
