Rotterdam, the Netherlands - Refresco Gerber N.V. (“Refresco Gerber” or the “Company”), the leading European bottler of soft drinks and fruit juices for retailers and A-brand owners, today announced that the Joint Global Coordinators, on behalf of the Underwriters, have partially exercised the over-allotment option.

As part of the initial public offering of Refresco Gerber on Euronext Amsterdam (the “IPO” or the “Offering”) and as set forth in the prospectus dated 17 March 2015, certain of the Company’s selling shareholders granted the Joint Global Coordinators (J.P. Morgan Securities plc and Credit Suisse Securities (Europe) Limited), on behalf of the Underwriters, the option to acquire up to 5,670,073 of Refresco Gerber’s issued ordinary shares (the “Shares”) at the price of €14.50 per Share, in addition to the 37,800,471 Shares of the base transaction. With today’s partial exercise of the over-allotment option pursuant to which an additional 1,057,578 Shares are sold, the total number of offered Shares will amount to 38,858,049 Shares, which represents a free float of approximately 47.9%.

As a result of the partial exercise of the over-allotment option, the selling shareholders will hold 52.1% of the Shares. Certain of the Selling Shareholders and Refresco Gerber have agreed to a lock-up of 180 days after the date of the closing of the Offering (which occurred on 31 March 2015), subject to certain customary carve-outs.

J.P. Morgan Securities plc, as the stabilization manager, has informed the Company that it has carried out stabilization trades in the Shares on Euronext Amsterdam. The stabilization trades began on 27 March 2015 and the last stabilization trade took place on 24 April 2015.
