Stern Groep N.V., beursgenoteerd Nederlands dealerholding en Hedin Automotive AB, een grote Scandinavische dealerholding, kondigen vandaag aan dat zij in gesprek zijn op basis van exclusiviteit over het fuseren van hun respectievelijke automotive activiteiten. De combinatie van Stern en Hedin Automotive zou sterk complementair zijn op zowel geografisch gebied als voor wat betreft de gevoerde automerken. Daarnaast zou de combinatie in een uitstekende positie zijn om een leidende rol te spelen in de verwachte verdere consolidatie van automotive retailers in de Eurozone.

De autobranche wordt geconfronteerd met allerlei trends en ontwikkelingen die uiteindelijk grote invloed zullen hebben op de individuele mobiliteit van consumenten en de manier waarop zij gewend zijn auto’s te kopen en te gebruiken. Dat dwingt autobedrijven in heel Europa om hun toegevoegde waarde voor consumenten te herzien en hun bedrijfsmodellen nog eens kritisch tegen het licht te houden. Voor een passend antwoord op de veranderingen in de markt zoeken autobedrijven tevens naar nieuwe kennis en aanvullende competenties. Bovendien wordt de automarkt steeds internationaler. Stern en Hedin Automotive geloven dat het bundelen van hun krachten de beste weg voorwaarts is.

Op dit moment kan geen zekerheid worden gegeven dat de fusie zal doorgaan. Na een fusie heeft de combinatie de intentie om de notering aan Euronext Amsterdam te gebruiken als een platform voor verdere groei. Het bestuur van Stern zal de mogelijke combinatie zorgvuldig analyseren en zal daarbij rekening houden met de belangen van alle stakeholders.
Verdere mededelingen zullen worden gedaan zodra de omstandigheden daartoe aanleiding geven. Stern heeft voor dit proces ING Corporate Finance aangesteld als financieel adviseur en Van Doorne als juridisch adviseur.

Stern Groep N.V., the Dutch listed automotive group, and Hedin Automotive AB, a large Scandinavian automotive group, today announce that they are in exclusive discussions on merging their respective automotive operations. The combination of Stern and Hedin Automotive will have strong complementarity in terms of geographic focus and brands. In addition, the combined group will be very well positioned to play a leading role in the expected ongoing consolidation of automotive retailers in the Eurozone.
The automotive industry faces numerous trends and developments which will eventually have great impact on the mobility of individuals and the way they are used to purchase and use cars. This requires automotive retailers all over Europe to reconsider their value to customers and rethink their current business model. To find the right answer to these developments, automotive retailers are looking for new knowledge and complementary competencies. Moreover the car market is becoming an international market. Stern and Hedin Automotive believe that joining forces is the best way forward.
At this stage there can be no assurance that the merger will materialise. After the merger, the combination intends to retain and use the Euronext Amsterdam listing as a platform for further growth. The Boards of Stern will carefully evaluate the combination and will take the interests of all stakeholders into full consideration.
Further announcements will be made if and when circumstances so require. Stern has appointed ING Corporate Finance as financial advisor and Van Doorne as legal advisor to assist in this process.
